1. Acceptance of Terms

By accessing and using HELPZ.ai ("the Service"), you accept and agree to be bound by the terms and provisions of this agreement. If you do not agree to abide by the above, please do not use this service.

2. Description of Service

HELPZ.ai provides an AI-powered customer support platform that enables businesses to create, deploy, and manage intelligent chatbots and virtual assistants. Our service includes:

• AI agent creation and customization tools
• Knowledge base management systems
• Website integration widgets
• Analytics and reporting features
• API access for custom integrations

3. User Accounts and Registration

3.1 Account Creation

• You must provide accurate, current, and complete information during registration
• You are responsible for maintaining the security of your account credentials
• You must be at least 18 years old or have legal guardian consent to use the Service
• One person or legal entity may maintain only one account

3.2 Account Responsibilities

• You are responsible for all activities that occur under your account
• You must notify us immediately of any unauthorized use of your account
• We reserve the right to refuse service or terminate accounts at our discretion

4. Subscription Plans and Billing

4.1 Subscription Plans

• Starter Plan: $19/month - 1,000 credits, up to 2 agents
• Professional Plan: $48/month - 5,000 credits, up to 10 agents
• Enterprise Plan: $98/month - 12,000 credits, up to 100 agents

4.2 Billing Terms

• All subscriptions are billed monthly in advance
• Payment is due immediately upon subscription activation
• We accept major credit cards processed through Stripe
• All prices are in USD and subject to applicable taxes

4.3 Credits and Usage

• Credits are consumed based on AI model usage (GPT-4o: 5x, GPT-4o-mini: 1x)
• Unused credits do not roll over to the next billing period
• Auto top-up charges may apply when credits fall below 20
• We reserve the right to modify credit pricing with 30 days notice

5. Acceptable Use Policy

5.1 Permitted Uses

You may use the Service for legitimate business purposes including customer support, information dissemination, and user engagement.

5.2 Prohibited Uses

You may not use the Service for:

• Illegal activities or violation of any laws or regulations
• Harassment, abuse, or harmful content targeting individuals or groups
• Spam, unsolicited communications, or deceptive practices
• Adult content, violence, or inappropriate material
• Impersonation of other individuals, entities, or services
• Attempts to circumvent security measures or gain unauthorized access
• Reverse engineering, copying, or competing services

6. Content and Intellectual Property

6.1 Your Content

• You retain ownership of content you upload to the Service
• You grant us a license to use your content to provide the Service
• You are responsible for ensuring you have rights to all uploaded content
• You warrant that your content does not violate any third-party rights

6.2 Our Intellectual Property

• The Service, including all software, designs, and technologies, is our property
• Our trademarks, logos, and brand elements are protected intellectual property
• You may not copy, modify, or create derivative works of our Service

7. Privacy and Data Protection

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to our Privacy Policy.

8. Service Availability and Support

• We strive to maintain high service availability but do not guarantee 100% uptime
• Planned maintenance will be communicated in advance when possible
• We are not liable for service interruptions beyond our reasonable control

8.2 Customer Support

• Support is provided via email and in-app messaging
• Response times vary by subscription plan and issue complexity
• We reserve the right to prioritize support based on subscription level

9. Termination

9.1 Termination by You

• You may cancel your subscription at any time through your account settings
• Cancellation takes effect at the end of your current billing period
• No refunds are provided for partial months or unused credits

9.2 Termination by Us

• We may suspend or terminate accounts for violations of these Terms
• We may terminate the Service with 30 days notice
• Upon termination, your access to the Service will cease immediately

10. Disclaimers and Limitations of Liability

10.2 AI Content Disclaimer

• AI-generated responses may be inaccurate, inappropriate, or unreliable
• You are responsible for reviewing and approving all AI-generated content
• We do not guarantee the accuracy or reliability of AI responses
• AI models may exhibit biases or generate unexpected outputs

10.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL.

11. Indemnification

You agree to defend, indemnify, and hold us harmless from and against any claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including attorney's fees) arising from your use of the Service or violation of these Terms.

12. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to our website. Continued use of the Service after changes constitutes acceptance of the new Terms. We will provide reasonable notice of material changes.
